EG Group agrees €425 million sale of Italian operations

EG Group is set to exit the Italian market after agreeing to sell its business in the country to a consortium of local fuel retailers for €425 million. The buyers – PAD Multienergy, Vega Carburanti, Toil, Dilella Invest, and GIAP – are all established operators in their respective regions.

The deal, which is still subject to antitrust and regulatory approval, is expected to close by the end of 2025. It will see EG Group transfer its network of service stations and convenience sites in Italy to the consortium, ending a chapter that began in 2018 when the company took over Esso Italiana’s network.

Headquartered in Blackburn, UK, EG Group said the sale is part of a broader strategy to concentrate on markets with the highest growth potential and reduce debt. “This transaction is fully aligned with our core market focus and deleveraging programme,” said CEO Russ Colaco. “We are grateful to our colleagues in Italy for their hard work and dedication, and we wish the business continued success in the future.”

Representatives of the buying group said the acquisition “allows us to generate new and key synergies for the development of the fuel stations network with the expansion of the services offered, also with a view to the energy transition.” They added that merging EG’s network with theirs would enhance operational expertise and preserve the legacy of Esso Italiana in Italy.

The potential reshaping of EG Group’s portfolio extends beyond Italy. Co-founder Zuber Issa is reportedly advocating for the sale of the company’s entire U.S. arm to help bring down its $5.3 billion debt burden.

EG Group, which operates in nine countries, has its largest market by revenue in the United States and manages more than 5,500 sites worldwide.
